Terms:
1. Definitions: In these regulations, the terms defined herein shall have the following meanings:

• "The Product" or "Products": The products appearing on the website and offered for sale.
• "Business Days": Weekdays, Sunday through Thursday, excluding Fridays, Saturdays, holidays, intermediate holidays, memorial days, and Sabbath days.

2. General: The section titles below are for the user's convenience and will not be used in the interpretation of these terms of use.

2.1 The website serves as an online store for the sale of speaker lamps and related fproducts via the internet.

2.2 The website is owned and managed by Kooduu Head Quarters.

2.3 These regulations form the legal basis for browsing the website and placing orders. They solely govern the relationship between the company and the website user and/or orderer and/or customer and/or person performing an action on the website (hereinafter: the "orderer") through the website. Therefore, the orderer is requested to read these regulations in full and carefully and to commit to its terms.

2.4 Anyone placing an order and/or purchase through the website and/or browsing the website declares that they have read these regulations, understood its instructions, and agree to all instructions and conditions. They and/or anyone on their behalf will not have any claim and/or demand and/or claim against the site and/or the site's management and/or the company and/or any of its managers and/or employees, regarding the instructions and/or conditions of these regulations.

2.5 The company reserves the right to prevent access to the website and/or any action on it by anyone violating these regulations and/or making inappropriate use of the website or any content appearing on it.

2.6 The company reserves the right to update and change these regulations from time to time, at its sole discretion, without notice or advance notice. The customer will not have any claim and/or claim against the website and/or the company for these changes and/or malfunctions that may occur during their execution.

2.7 Use of the website is permitted for the user's personal use only; no use or purchase may be made for commercial purposes.

2.8 Use of the website and its content is as presented, without any possibility of intervention or change by the user and for private purposes only. It is forbidden to use the website and/or its content, in whole or in part, for commercial purposes. It is forbidden to use the content, in whole or in part, for copying, correcting, modifying, reproducing, broadcasting, displaying, publishing, transferring, selling, or distributing in any way whatsoever by any user, without the company's explicit prior written consent.

2.9 It is clarified that differences may exist in using the website via tablet and/or mobile phone devices versus stationary and/or mobile computers. These terms of use apply to all website use and services, regardless of device or network used.

2.10 Only the company's computer records regarding actions carried out through the website will serve as prima facie evidence of the correctness of the actions.

2.11 The images of the products displayed on the website are for illustration purposes only and are not binding on the website administration. The company will strive to display accurate images of the products, as possible.

2.12 The company does not undertake to keep stock of all models and/or products whose pictures appear on the website.

2.13 The company does its best to ensure that the information displayed on the website is complete and accurate regarding the products sold. However, inaccuracies and/or errors may appear, and the company bears no responsibility arising from them.

2.14 All prices on the website are in Israeli New Shekels (NIS). Prices include VAT, where applicable, but exclude shipping fees.

2.15 The company may update product prices and shipping rates without prior notice. The valid price for an order is the price published upon order completion (including credit card details submission). If prices are updated before order completion, the customer will be charged the updated price.

2.16 The company may offer promotions, benefits, and discounts on the website and may stop, replace, or change them at any time without prior notice.

2.17 Promotions and discount coupons apply only to specified products. Only one coupon per purchase; redeemable online only.

2.18 The company may, at any time and without notice, at its sole discretion, cease or suspend website operation, in whole or in part, or correct or change its nature and content. The user shall have no claims against the company for any such change.

2.19 These regulations are written in the masculine gender but apply to both genders.

3. Placing Orders on the Website:

3.1 Product purchases require completing the website order form. All details must be completed.

3.2 Website prices, products, promotions, discounts, and coupons are valid for online orders only. No claims can be made regarding discrepancies between online and in-store offerings.

3.3 While the company strives to maintain stock, it reserves the right to limit product delivery options (including in-store pickup only, order quantities, etc.) at its discretion.

3.4 Accurate information is crucial for order fulfillment. Incorrect information may delay or prevent delivery; the orderer will be responsible for return shipping costs.

3.5 Payment is by credit card only. Checks, vouchers, gift cards, prepaid cards, coupons, and credits are not accepted.

3.6 Upon order placement and payment method entry, credit card details will be verified. An email will confirm order approval or rejection; this confirmation does not guarantee product supply.

3.7 If the credit company rejects the transaction, the order will be canceled; the company bears no liability for this cancellation.

3.8 Order fulfillment depends on product availability. If an item is shown as in stock but unavailable, the order will be canceled, and the payment refunded.

3.9 If the requested product is out of stock, the company will contact the customer to complete or cancel the order.

3.10 The company retains the sole right to approve or reject orders.

3.11 The company may update product prices without prior notice. The price at the time of order is the price charged.

4. Right/Eligibility to Make Purchases on the Website: Any user meeting ALL the following conditions may purchase products on the website:

4.1 The user is legally capable of entering into binding contracts (18 years or older).

4.2 The user possesses a valid credit card issued by a company operating in Israel, or has the credit card holder's consent to use it.

4.3 The user has a valid email address.

4.4 The company reserves the right to refuse service or cancel orders from users exhibiting inappropriate behavior or violating these terms, or who attempt to disrupt the website's operation.

4.5 The company may limit the number of products per order.

5. Product Supply and Transportation:

5.1 The orderer can receive the order via home delivery, as detailed on the shipping and delivery policy page; delivery method cannot be changed after order completion.

5.2 The company only supplies products paid for in full via credit card (as per Section 3).

5.3 Delivery time will be as stated upon order confirmation and within business hours (as detailed on the shipping and delivery policy page).

5.4 Delivery times are estimates and commence upon order confirmation. Delays may occur due to factors outside the company's control (e.g., shipping company delays). The company is not liable for such delays.

5.5 The company is not liable for delays caused by the orderer (e.g., difficulty contacting the orderer), force majeure, strikes, system malfunctions, or email service disruptions.

5.6 The orderer will receive an SMS notification of the delivery date.

5.7 If the orderer is unreachable on the delivery date, a second attempt will be made to contact them. If this fails, the order must be picked up from the store.

5.8 Home delivery is available only in designated areas, as defined by the company and subject to change without notice. The company may refuse delivery to restricted areas for security or technical reasons.

5.9 Upon delivery (in-store or home), the company may require the credit card holder's presence and identification.

5.10 Shipping fees will be shown at checkout and charged at the time of ordering.

5.11 The company is not liable for shipping company delays.

5.12 Delivery times do not apply to out-of-stock items.

5.13 If a shipment is undelivered due to the orderer's fault (e.g., incorrect information, refusal of delivery), the orderer is responsible for shipping fees.

5.14 Shipping rates may be updated without prior notice.

5.15 The applicable shipping rate is the rate at the time of order; updated rates apply if changes occur before order completion.

6. Transaction Cancellation and Product Returns:

6.1 This section is subject to the Consumer Protection Law, 5741-1981 ("the Law").

6.2 The orderer (not the recipient) may cancel an order under the conditions detailed below. Refunds will be credited to the original credit card used, according to the credit card company's schedule.

6.3 Cancellations before shipment incur no additional charges; a full refund will be provided, including shipping fees.

6.4 Cancellations after shipment will result in a full product refund, minus a NIS 30 return shipping fee. The refund is contingent on the product's return in unused, unassembled condition, undamaged, and in original packaging.

6.5 The company has sole discretion regarding the condition of returned products.

6.6 Unused products in original packaging may be returned within 14 days of delivery, provided they have not been assembled or installed.

6.7 Consumers with disabilities, senior citizens, or new immigrants (as defined by the Consumer Protection Law) have four months to cancel (from the order date, product receipt date, or disclosure document receipt date, whichever is later) if the order involved a conversation with the seller. The company may require proof of eligibility.

6.8 For cancellations after product receipt, the customer is responsible for return shipping (or may arrange for the company to pick it up for a 25 NIS fee).

6.9 If cancellation is due to a product defect, the company will arrange pickup at no additional cost to the consumer.

6.10 The right to cancel does not affect the company's right to claim damages if a returned product's value has diminished.

6.11 No refunds will be given for free items or those purchased on sale.

6.12 Returns are handled via customer service (Section 2.20), email (kooduu@star.co.il) or fax (03-5121521). Direct debit cards are non-refundable. Sale items or those purchased with coupons may be returned within 7 days of delivery for a refund of the amount actually paid.

7. Sales, Benefits, and Discounts:

7.1 The company may offer promotions, at its discretion, and may discontinue, change, update, or extend them without notice.

7.2 Users have no guaranteed right to benefit from these promotions.

7.3 Order cancellations or price changes may affect eligibility for promotions.

7.4 Refunds for canceled sale items or those purchased with benefits will be for the amount actually paid.

7.5 Products purchased with special offers (e.g., buy-one-get-one, coupon codes) must be returned entirely to receive a full refund or a pro-rata refund if only some items are returned.

8. Liability and Service:

8.1 Product quality is the responsibility of the manufacturer/importer, as per the Consumer Protection Law. The company’s liability is limited to the product's cost.

8.2 Website information (including third-party advertising) is for general purposes only; it does not constitute a guarantee or warranty. The company is not liable for any damages resulting from website use or reliance on this information.

8.3 The company is not responsible for website malfunctions, software issues, hardware problems, viruses, communication issues, or slow website speeds.

8.4 The company is not liable for any direct, indirect, consequential, or special damages resulting from website use or purchases not in accordance with these terms. The company may cancel orders at its discretion.

8.5 Clerical errors in product descriptions do not bind the company. Product images and dimensions are for illustration only.

8.6 The company's liability is limited to the purchase price of the product.

8.7 The company is not liable for product misuse not in accordance with manufacturer’s instructions.

8.8 Report any product defects to customer service at 03-5121500.

9. Copyright and Website Use:

9.1 All intellectual property rights (copyrights, designs, methods, trade secrets, text, graphics, logos, trademarks) belong solely to the company.

9.2 Copying, reproduction, distribution, sale, marketing, or translation of website content (including trademarks, images, texts) without explicit written permission is prohibited.

9.3 Commercial or other use of website data (including product lists and descriptions) without explicit written permission is prohibited.

9.4 Using published data for display on another website or service is prohibited.

9.5 The name KOODUU, the domain name, and trademarks (registered or unregistered) belong solely to the company and cannot be used without explicit written permission.

9.6 Trademarks provided by other companies for advertising purposes are their property and cannot be used without their consent.

9.7 Use the website only for lawful purposes and according to these terms.

9.8 Using any software or method to automatically copy website content (e.g., crawlers, robots) is prohibited.

9.9 Displaying website content within a frame (visible or hidden) is prohibited.

9.10 Modifying website design or content (including removing ads) is prohibited.

9.11 Modifying website design or functionality (e.g., navigation bars, images) is prohibited.

9.12 Website use is for personal purposes only; wholesale or resale of products purchased via the website is prohibited.

9.13 The company reserves the right to limit, refuse, or cancel orders it deems to be for non-personal use.

10. Privacy Policy, Database, and Direct Marketing:

10.1 Personal information provided during order placement is subject to the company's privacy policy and applicable laws.

10.2 The company will only disclose user/orderer information: (a) by court order or as required by law; (b) in response to legal proceedings against the company due to actions performed by the orderer; (c) if the company reorganizes, merges, or is acquired; (d) if the company suspects fraudulent activity; (e) if the company suspects illegal activity by the orderer; (f) if the orderer breaches these terms; (g) for internal company purposes, such as marketing activities. The orderer waives any claims regarding such disclosure.

10.3 Submitting an order form constitutes consent to the company storing user data for marketing, promotions, loyalty programs, statistical analysis, surveys, and other online marketing activities. This also includes using cookies. The orderer waives any claims regarding the use of this data.

10.4 The orderer acknowledges that providing this information is voluntary and agrees to its use as described above.

10.5 Orderers objecting to data use, wishing to be removed from the database, or wishing to opt out of direct marketing should notify the company in writing via the website or the unsubscribe mechanism in marketing emails.

11. Confidentiality:

11.1 The company does not store credit card numbers.

11.2 The company utilizes high security standards to protect customer information and privacy; it uses the services of a leading Israeli credit card processing and security company, which adheres to PCI Level 1 standards.

11.3 The website’s security measures protect consumers, merchants, and credit card companies. PCI DSS compliance significantly enhances security. Measures include vulnerability scanning, detection, and prevention of unauthorized access. 

11.4 The website is secured using SSL protocol; all communication between the browser and the website is encrypted.

11.5 The company is not liable for data loss or unauthorized access due to factors outside its control (force majeure).

11.6 The company strives to provide quality service, but does not guarantee uninterrupted, error-free, or secure service; it is not responsible for unauthorized access, damage, malfunctions, or communication issues.

11.7 The company is not liable for the content or effects of messages sent or received via the website.

12. Indemnification:

12.1 The orderer agrees to indemnify the company for any damages, losses, liabilities, claims, or demands, including legal fees, resulting from the orderer's or a third party's misuse of the website or breach of these terms.

12.2 Direct Marketing: Agreement to receive newsletters and marketing information constitutes explicit consent to receive direct marketing communications, in accordance with the Communications (Broadcasting and Telecommunications) Law, 5752-1992.

12.3 Providing information on the website constitutes explicit consent to receive electronic marketing communications (e.g., fax, automated dialing system, email, SMS).

13. Document Delivery to the Orderer:

13.1 The company may send documents related to the order electronically (email, SMS, etc.).

13.2 This includes invoices, receipts, and documents required by the Consumer Protection Law.

13.3 Using the website implies consent to receive documents electronically.

14. Breach of Terms of Use:

14.1 If the company suspects a user has violated these terms, it may, at its discretion and without prior notice, take one or more of the following actions:

14.1.1 Block the user’s access to the website.

14.1.2 Cancel the user's order.

14.1.3 Seek any remedy available under the law.

15. Website Information:

15.1 The website contains general information about the company, its activities, and products.

15.2 This information is for informational purposes only and does not constitute professional advice.

15.5 The user warrants that they have obtained all necessary consents for any third-party content published on the website, in accordance with applicable laws.

15.6 The orderer owns the rights to any content they publish and grants the company the right to edit, correct, and modify it at its sole discretion, without notification or compensation to the user.

16. Links to Other Websites:

The website may contain links to other websites, over which the company has no control. The company is not liable for any damages resulting from using these links.

17. Miscellaneous:

17.1 In accordance with the Law for Environmental Handling of Electrical and Electronic Equipment and Batteries, 5772-2012, the orderer and/or anyone on their behalf may provide the company or anyone on its behalf with electrical and electronic waste at the time of delivery without additional charge.

17.2 The company reserves the right to cease website operation or change product prices or availability at any time.

17.3 These terms are governed by Israeli law; the exclusive jurisdiction lies with the courts of Tel Aviv-Yafo.

17.4 Website information is for informational purposes only and does not constitute advice or opinions. The user is solely responsible for their reliance on this information.

17.5 Continued use after updates constitutes acceptance of the updated terms.
